Terms of Service
These terms are the agreement between you and Rice Digital LLC (“Call To Action”, “we”, “us”) when you use the app. By creating an account or using the service, you accept them.

Before you publish: fill in the blanks
This text is written for how the app actually works, but it is a starting point, not legal advice. The highlighted items below need your real business details, and a lawyer should read it before you charge customers.
1. The service
Call To Action is software for small businesses: it texts callers you missed, gathers job details in a short conversation, organizes leads, drafts quotes, tracks deposits and balances, schedules jobs and reminders, and lets team members see their assignments.
It is a tool, not a person. It does not answer your phone, decide your prices, promise an appointment, or become your contractor, insurer or legal adviser. Live texting, calling and customer photo reception depend on a phone number and provider account being connected and configured; without that setup, the app runs in demo or test mode and nothing is actually sent. We will always show you which mode you are in and will never claim a message was delivered when it was not.
2. Your account
You must be at least 18 and able to form a binding contract. You are responsible for everything done under your account, for keeping your credentials safe, and for the accuracy of the business and customer information you enter. Tell us promptly if you believe your account is not secure.
One account per business unless we agree otherwise. Do not share logins or resell access without permission.
3. Your data, your customer relationships
You own the business and customer information you put in the app. You give us permission to store, host, back up, transmit and display it only so we can provide the service to you. When you leave, you can ask for it back or ask us to delete it (see the privacy policy).
You are responsible for your customers: what you tell them, what you agree to, and your relationship with them. We are not a party to your contracts, quotes or jobs.
4. Messaging consent — this one matters
You must have a lawful basis before you text someone, and you are the one who holds that basis. Specifically, you agree to:
- Text only people who contacted you, gave you their number, or otherwise consented to be messaged.
- Honor opt-outs immediately. STOP (and similar replies) stops automated messages to that number.
- Follow the quiet hours and message limits you configure, and the rules of the countries you message.
- Keep records of your consents. If a carrier, regulator or customer challenges a message, that is yours to answer.
- Not use the service for spam, scams, political canvassing, debt collection, or messages about products or services that are restricted or unlawful where you operate.
For people who contact a business through the service, texting consent works like this: when you call a business that uses Call To Action and the call is missed, the business may send you an acknowledgement text. By replying to that text (or to any message from the business sent through the service), you opt in to further messages from that business — automated or staff-sent — as part of your conversation about your inquiry, such as gathering job details, quotes, appointment reminders and follow-ups. Reply STOP at any time to opt out and stop automated messages; reply HELP for help. Message frequency varies, and message and data rates may apply. Consent to these texts is not a condition of buying anything, and you may also speak with the business directly instead.
Message and data rates may apply for the recipient, and carriers may filter or block messages. We can limit or suspend messaging that puts our numbers or the service at risk.
5. AI-assisted features
The app can draft intake messages, summarize a lead, suggest a follow-up, describe a job photo, or estimate project size from a photo plus a measurement you supply. These are suggestions. They can be wrong, incomplete or unsafe, and they are not professional, engineering, safety or legal advice.
You stay in control: nothing is sent to a customer and no price, availability, appointment or policy is committed unless you approve it. Do not present AI output to a customer as a guarantee, measurement you verified, or a quote you accepted.
6. Quotes, deposits and payments
Quotes are drafts until you approve them. You decide prices, materials, labour, margin and what a customer sees; the customer view shows their price with labor and materials and hides your internal costs and margin. A quote becomes a real offer only when you send it.
Deposit requests, payment links and payment records are yours. Payment links point at a page you host, and card details go to your payment provider. Payment records you enter are your entries, not proof from a provider, and balances shown in the app are calculated from those entries. We do not process card payments, issue refunds, resolve chargebacks or guarantee that anyone pays.
7. Job photos, sizing and reminders
Photos your team uploads are stored privately for the job and visible only to people you authorize. Customer photos are handled as temporary review inputs. Size estimates derived from a photo and a known measurement are internal notes for your review — they do not change a quote automatically and are not a survey or an engineering assessment.
Appointment reminders are sent only after you approve them, only to contacts whose consent you recorded, and only for jobs you confirmed. A reminder that has been sent cannot be unsent, and a job that has already started cannot have its reminder cancelled.
8. Employees and people you invite
You can invite team members with a single-use link and choose what they see. Calendar-only access shows job and schedule details, not customer quotes, internal costs or private notes. You are responsible for what people with access to your account do, and for revoking access when someone leaves.
9. Acceptable use
You agree not to:
- Break, disable or probe the service, or bypass access controls and tenant isolation.
- Upload malware, or scrape, harvest or resell data belonging to another business.
- Impersonate a business or person, or send messages that are deceptive or unlawful.
- Use the service in a way that violates a law, a carrier rule or a third-party agreement.
- Reverse engineer, copy or resell the service itself without written permission.
10. Fees and plans
Call To Action is offered on monthly subscription plans: Starter ($39/month), Pro ($79/month) and Team ($99/month), as listed on our pricing page. A paid plan is required to use the app. Subscriptions renew automatically each month until cancelled. Upgrades and downgrades take effect immediately and are prorated. You can cancel anytime; you keep access until the end of the paid period and are not charged again. You can request a full refund within 14 days of a payment — see our refund policy.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are also governed by Paddle's Buyer Terms.
Your phone number and messaging usage may be billed separately by your messaging provider under your own agreement with them.
11. Suspension and termination
You can stop using the service at any time and ask us to close your account. We may warn, limit, suspend or end access — including messaging — if you break these terms, if your account is put at risk, or if continuing would expose us, our providers or other customers to legal or security harm. Where we can, we will tell you why and give you at least 7 days to fix it, except where the issue is non-payment, fraud, a security risk or a serious or repeated violation, where we may act immediately.
12. Availability and changes
We work to keep the app available, but we do not guarantee uptime. Features may change, and we may update, add or remove functionality. We may change these terms; if a change materially affects you we will give notice in the app or by email before it takes effect.
13. Disclaimers
The service is provided “as is” and “as available”, without warranties of any kind, to the extent allowed by law. We are not a telecommunications carrier, a bank or a payment institution, and we do not warrant that messages will be delivered, that AI output will be accurate, or that the service will be error-free.
14. Limitation of liability
To the extent allowed by law, we are not liable for lost profits, lost leads, lost revenue, lost data, or indirect, special or consequential loss. Our total liability for anything arising out of these terms is limited to the amount you paid us in the three months before the claim, or one hundred dollars if you have not paid us.
15. Indemnity
You agree to cover our losses, costs and reasonable legal fees if a claim against us comes from your use of the service: your messaging and consent records, your quotes and jobs, your content, or your breach of these terms.
16. Governing law
These terms are governed by the law of the State of Ohio, United States, without regard to its conflict-of-law rules, and disputes will be resolved there — unless your local consumer law gives you the protection of your own country's rules. Rice Digital LLC does business in Ohio.
